These Terms of Service of Use (“Terms”) govern your participation as an affiliate partner (hereinafter referred to as “Affiliate”) in the affiliate program (hereinafter referred to as Glowbee Affiliate Program) offered by Glowbee Skincare through its e-commerce website (hereinafter referred to as “www.glowbeeskincare.com”). By participating in the Program, you agree to be bound by these Terms. If you do not agree to these Terms, please do not participate in the Program.
AFFILIATE ELIGIBILITY
1.1 You must be at least 18 years old to participate in the Program.
1.2 You must provide accurate and complete information during the registration process.
1.3 The Company reserves the right to reject any application or terminate an Affiliate’s participation in the Program at any time, without providing any reason.
AFFILIATE ACCOUNT
2.1 Upon acceptance into the Program, you will be provided with a unique affiliate account (hereinafter referred to as “Account”).
2.2 You are responsible for maintaining the confidentiality of your Account login information and are liable for all activities that occur under your Account.
2.3 You must promptly notify the Company of any unauthorized use or security breach of your Account.
AFFILIATE OBLIGATIONS
3.1 You will promote the Company’s products and services as outlined in the Program guidelines.
3.2 You will not engage in any illegal, deceptive, or unethical practices while promoting the Company’s products and services.
3.3 You will not make any false or misleading statements about the Company, its products, or services.
3.4 You will not engage in spamming, keyword stuffing, or any other form of unethical marketing practices.
3.5 You will comply with all applicable laws and regulations, including those related to privacy and data protection.
3.6 You will promptly remove any promotional materials or links upon the termination of the Program or as instructed by the Company.
COMMISSIONS AND PAYMENTS
4.1 The Company will pay you a commission for qualified sales or actions generated through your promotional efforts, as outlined in the Program.
4.2 Commission rates and payment terms will be specified in the Program or communicated separately.
4.3 The Company reserves the right to change commission rates and payment terms at its discretion, upon reasonable notice to the Affiliate.
4.4 Commissions are payable on a regular schedule, subject to any minimum payment thresholds specified by the Company.
4.5 The Company may withhold or reject commissions for any sales or actions that are deemed fraudulent, in violation of these Terms, or otherwise non-compliant with the Program guidelines.
4.6 Affilaites shall be paid 10% commision per sale fro first 100 orders and will be 15% once 100 sales be completedif referal sales completed through affiliate link.
INTELLECTUAL PROPERTY
5.1 The Company grants you a non-exclusive, non-transferable, revocable license to use the Company’s trademarks, logos, and promotional materials solely for the purpose of promoting the Company’s products and services.
5.2 You may not modify, alter, or adapt any of the Company’s trademarks, logos, or promotional materials without prior written consent.
5.3 All intellectual property rights, including copyrights and trademarks, relating to the Company’s products, services, and Website, shall remain the property of the Company.
DISCLAIMER OF WARRANTIES
6.1 The Program, Website, and any related materials are provided on an “as-is” and “as-available” basis, without any warranties or representations, express or implied.
6.2 The Company does not guarantee the availability, accuracy, completeness, or reliability of the Program, Website, or any related materials.
LIMITATION OF LIABILITY
7.1 To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or relating to the Program, Website, or any related materials.
7.2 In no event shall the Company’s total liability to you for all claims, whether in contract, tort, or otherwise, exceed the total commissions paid or payable to you under the Program during the three (3) months preceding the claim.
TERM AND TERMINATION
8.1 These Terms shall commence upon your acceptance into the Program and shall continue until terminated by either party.
8.2 Either party may terminate these Terms at any time, with or without cause, by providing written notice to the other party.
8.3 Termination of these Terms shall result in the deactivation or deletion of your Account and the forfeiture of any unpaid commissions.
8.4 Affilaites Must make their first sale with 30days of join date as affiliaite, failed to do so can be result to terminate/disable the affiliate account.
GENERAL PROVISIONS
9.1 These Terms constitute the entire agreement between you and the Company and supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
9.2 These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of laws principles.
9.3 Any dispute arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the courts of New Zealand.
9.4 If any provision of these Terms is found to be invalid or unenforceable, such provision shall be severed from these Terms, and the remaining provisions shall remain in full force and effect.
9.5 The Company’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
By participating in the Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions of Use.
